Resumen
This paper is a comparative analysis between United States of America's and Spain's law about the problem of the legality of shareholder's agreements on di- rector's voting. The study reveals a tendency to recognize the validity of these agreements when celebrated by all of the shareholders in closed corporations. Also, this work identifies the reasons why this subject is seldom discussed in relation to listed companies in these jurisdictions and the foundations that determine the inadecuacy and the consequent ilegality of these agreements for this kind of corporations.
